1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Guardrail Technologies, Inc. (“Guardrail Technologies,” “we,” “us,” or “our”) governing your access to and use of our website, products, and services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Guardrail Technologies provides enterprise AI security and governance solutions, including but not limited to AI Traffic Light™, Command Center™, and related products and services. Our Services are designed to help organizations monitor, assess, and manage risks associated with AI systems and workflows.

3. Account Registration

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Use of Services

Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.

Prohibited Conduct

You agree not to:

  • Use the Services in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Copy, modify, or create derivative works of the Services
  • Use the Services to transmit malware or other harmful code
  • Use the Services to infringe upon the rights of others
  • Resell, sublicense, or redistribute the Services without authorization

5. Intellectual Property

The Services and all content, features, and functionality thereof, including but not limited to software, text, graphics, logos, trademarks, and service marks, are owned by Guardrail Technologies or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

“Guardrail Technologies,” “AI Traffic Light,” “Command Center,” and related logos and product names are trademarks of Guardrail Technologies, Inc. You may not use these marks without our prior written consent.

6. Customer Data

You retain all rights to the data you submit to the Services (“Customer Data”). By submitting Customer Data, you grant us a limited license to use, process, and store such data solely to provide the Services to you. We will handle Customer Data in accordance with our Privacy Policy and any applicable data processing agreements.

7. Fees and Payment

Certain Services may require payment of fees. All fees are stated in U.S. dollars and are non-refundable unless otherwise specified. We may modify our fees upon thirty (30) days’ prior notice. Payment terms and other commercial details will be set forth in a separate order form or subscription agreement.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party’s confidential information and not to disclose such information to any third party without prior written consent. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.

9. Warranties and Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

We do not guarantee that the Services will detect all AI-related risks or vulnerabilities. The Services are intended to assist with AI governance and risk management but should not be relied upon as the sole means of ensuring AI safety or compliance.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GUARDRAIL TECHNOLOGIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Guardrail Technologies and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Services or your violation of these Terms.

12. Term and Termination

These Terms remain in effect until terminated. We may suspend or terminate your access to the Services at any time for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

15. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Guardrail Technologies regarding the Services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent.
